Terms and Conditions

Welcome to Willsj Technologies LLC . By accessing or using our website and services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree, you may not use our services.

1.Services

We provide IT solutions, including but not limited to software development, web design, and related consultancy services. Specific details of each service will be outlined in individual project agreements.

2.Acceptance of Terms

By engaging our services, you confirm that you have read, understood, and accepted these Terms and Conditions. These Terms apply to all users, clients, and stakeholders.

3.Project Initiation and Payments

• Advance Payment: 50% non-refundable advance payment is required to begin any project. Work will commence only after the payment is received.

Cancellation Policy:

• If a project is canceled by the client after work has begun, 50% of the advance payment will be refunded.
• If cancellation occurs due to our inability to deliver agreed-upon deliverables, a full refund of the advance payment will be provided.
• Final Payment: The remaining balance is due upon completion of the project and prior to the delivery of final deliverables.

4.Refund Policy

Refunds are issued under the following conditions:

• Project Cancellations:  As outlined above, 50% of the advance payment is refundable if the client cancels the project after work has started.
• Service Dissatisfaction: Any refund requests for dissatisfaction must be submitted within seven (7) days of receiving the deliverables. Refunds are subject to review and approval.

5.Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements, data, and resources.
• Responding to communication promptly to ensure the timely progression of the project.
• Reviewing deliverables and providing feedback within the agreed timeline.

6.Ownership and Intellectual Property

• All deliverables remain our property until full payment is received.
• Upon full payment, ownership of deliverables transfers to the client, except for any pre-existing intellectual property, frameworks, or licensed components used in the project.
• We reserve the right to showcase completed projects in our portfolio unless expressly prohibited by the client.

 7.Confidentiality

• We will maintain the confidentiality of all client-provided information and will not disclose it to third parties without prior consent unless required by law.

8.Limitation of Liability

We are not liable for delays caused by:

• Client's failure to provide required information or approvals.
• Third-party service disruptions.

Our maximum liability for any claim arising out of this agreement will not exceed the total fees paid by the client.

9.ermination

We reserve the right to terminate services if:

• The client violates these Terms and Conditions.
• Payment obligations are not met.

Clients may terminate services by providing written notice. Refunds will be issued as per the Refund Policy.

10.Force Majeure

• We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, strikes, or internet outages.

11.Dispute Resolution

• Any disputes arising out of these Terms will be resolved through negotiation. If a resolution is not reached, disputes will be referred to arbitration in Dubai, UAE, in accordance with applicable laws.

12.Governing Law

• These Terms are governed by and construed in accordance with the laws of Dubai, UAE.

13.Amendments

• We may update these Terms and Conditions from time to time. Changes will be effective upon posting on our website.
